Please read the terms of service (the “Terms of Service,” or “Terms”) set forth below, as they apply to your access and use of our services, including our various websites, APIs, email notifications, applications buttons and widgets (the “Services”), and any information, text, graphics, photos or other materials uploaded, downloaded or appearing on the Services (collectively referred to as the “Content”). Your access to and use of the Services signifies your acceptance of these Terms of Service and agreement to be bound by them and any and all other applicable terms referenced herein absolutely. You consent to entering these Terms of Service electronically, and to storage of records related to these Terms of Service in electronic form.

YOU AFFIRM THAT YOU ARE AT LEAST 18 YEARS OF AGE OR THE AGE OF MAJORITY IN THE JURISDICTION YOU ARE ACCESSING THE SERVICES FROM AND ARE FULLY ABLE AND COMPETENT TO ENTER INTO THE TERMS, CONDITIONS, OBLIGATIONS, AFFIRMATIONS, REPRESENTATIONS, AND WARRANTIES SET FORTH IN THESE TERMS OF SERVICE, AND TO ABIDE BY AND COMPLY WITH THESE TERMS OF SERVICE. IF YOU ARE UNDER 18 OR THE APPLICABLE AGE OF MAJORITY, PLEASE DO NOT USE THE SERVICES.

You also represent that the jurisdiction from which you access the Services does not prohibit the receiving or viewing of sexually explicit Content. We make no representations, warranties or guarantees, whether express or implied, that our Services or any content on our site is accurate, complete or up-to-date.

4. Accessing our Services

Our basic account services are made available free of charge. To access the Services or some of the resources it offers, you may be asked to provide certain registration details or other information.

We do not guarantee that our Services, or any content, will always be available or be uninterrupted. Access to our Services is permitted on a temporary basis. We may suspend, withdraw, discontinue or change all or any part of our Services without notice. We will not be liable to you if for any reason our Services are unavailable at any time or for any period.

You are solely responsible for ensuring that your access and use of the Service in a particular country, territory, or jurisdiction does not violate any applicable laws.

5. Your account and password

You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password. We encourage you to use “strong” passwords (passwords that use a combination of upper and lower case letters, numbers and symbols) with your account. You must treat such information as confidential. You must not disclose it to any third party. Zorg Media LLC cannot and will not be liable for any loss or damage arising from your failure to comply with the above.

We have the right to disable any password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these Terms of Service.

If you know or suspect that anyone other than you knows your password, you must promptly notify us at [email protected].

6. Your license to use the Services

Zorg Media LLC gives you a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use the software that is provided to you by us as part of the Services. This license is for the sole purpose of enabling you to use and enjoy the benefit of the Services as provided by Zorg Media LLC, in the manner permitted by these Terms of Service.

7. Communication Preferences

By using and registering as a user, you expressly and specifically consent to receiving electronic communications from us relating to your account. These communications may involve sending emails to your email address provided during registration, or posting communications on our website and may include notices about your account (such as change in password or confirmation emails) and are part of your relationship with us. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing. You should maintain copies of electronic communications by printing a paper copy or saving an electronic copy.

8. Our Intellectual property rights

All intellectual property rights subsisting in respect of the Services belong to Zorg Media LLC or have been lawfully licensed to Zorg Media LLC for use in connection with the Services. All rights under applicable laws are hereby reserved. You are not allowed to upload, post, publish, reproduce, transmit or distribute in any way any component of the website itself or create derivative works with respect thereto, as the website is copyrighted under applicable laws.

You agree that we are free to use, disclose, adopt and modify all and any ideas, concepts, knowhow, proposals, suggestions, comments and other communications and information provided by you to us (“Feedback”) in connection with the Services and/or your use of the Services without any payment to you. You hereby waive and agree to waive all and any rights and claims for any consideration, fees, royalties, charges and/or other payments in relation to our use, disclosure, adoption and/or modification of any or all of your Feedback.

9. Your rights

You retain your rights to any Content you submit, post or display on or through the Services. By submitting, posting or displaying Content on or through the Services, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display and distribute such Content in any and all media or distribution methods (now known or later developed).

You agree that this license includes the right for us to provide, promote, and improve the Services and to make Content submitted to or through the Services available to other companies, organizations or individuals who partner with Zorg Media LLC for the syndication, broadcast, distribution or publication of such Content on other media and services, subject to our terms and conditions for such Content use.

Such additional uses by Zorg Media LLC or other companies, organizations or individuals who partner with Zorg Media LLC may be made with no compensation paid to you with respect to the Content that you submit, post, transmit or otherwise make available through the Services.

Zorg Media LLC monitors for any illegal content uploaded to our service. We may modify or adapt your Content in order to transmit, display or distribute it over computer networks and in various media and/or make changes to your Content as are necessary to conform and adapt that Content to any requirements or limitations of any networks, devices, services or media.

You are responsible for your use of the Services, for any Content you provide, and for any consequences thereof, including the use of your Content by other users and our third party partners. You understand that your Content may be syndicated, broadcast, distributed, or published by our partners and if you do not have the right to submit Content for such use, it may subject you to liability. Zorg Media LLC will not be responsible or liable for any use of your Content by Zorg Media LLC in accordance with these Terms. You represent and warrant that you have all the rights, power and authority necessary to grant the rights granted herein to any Content that you submit.

10. $WAP Token Program

The Terms apply to the $WAP Token Program (the “Program”) under which you may be eligible to receive and/or mint a cryptographic work token called “$WAP” (for the purposes of these Terms, the “Program” is included in the term “Services”). The $WAP Token is designed to enhance the creator economy on the Waptap platform, facilitating dynamic interactions between creators and fans.

Before making any financial, legal, technical, or other decisions involving the Program, you should seek independent professional advice from a licensed and qualified individual in the area for which such advice would be appropriate.

THE TOKENS HAVE NOT BEEN REGISTERED UNDER THE SECURITIES ACT OF 1933, AS AMENDED, STATE SECURITIES LAWS, OR THE LAWS OF ANY COUNTRY OUTSIDE THE UNITED STATES. THEY PROVIDE NO RIGHT TO ANY PROFITS OR LOSSES.

Unless we introduce changes, you may participate in the Program and work for $WAP Tokens and other awards (if any). Our website may utilize multiple smart contracts to calculate the number of $WAP Tokens and awards you may be eligible to generate under the Program.

We may issue, update, change, replace, or cancel $WAP Token economic models. You are responsible for reviewing and becoming familiar with any modifications, waiving any right to specific notice of such changes.

Regarding $WAP Tokens, you hereby represent and warrant that:

  • You are permitted by the laws of your jurisdiction to acquire, receive, stake, hold, and perform any other actions with cryptographic tokens.

  • You understand that holding $WAP Tokens does not grant you any specific rights, benefits, or guarantees of economic value.

  • $WAP Tokens are not redeemable, have no cash or other payment obligation from us, and do not represent money, security, commodity, or any financial instrument.

  • The tokens are minted voluntarily, without any obligation from us to provide services or benefits, and have no intrinsic economic value or tangible manifestation.

  • You acknowledge the potential costs associated with interacting with smart contracts under the Program.

  • $WAP Tokens do not confer any legal or financial rights, including but not limited to rights to dividends, revenue, ownership, intellectual property, or participation in the Program or any entity related to it.

  • You recognize the inherent risks of the early-stage development of the Program and blockchain technology, including potential vulnerabilities, theft, or loss due to cybercrime or technical failures.

  • You understand the implications of blockchain transactions, including the non-refundability of gas fees and the irreversible nature of transactions, and acknowledge the absence of our liability for value fluctuations of digital assets.

  • You are aware that our role is limited to facilitating the Program and that we do not possess, control, or manage your crypto assets, with you retaining full responsibility for safeguarding your digital assets.

  • You understand the risks associated with smart contract-based activities, including vulnerabilities, the irreversible nature of the protocols, and the transparency and potential traceability of blockchain transactions.

You represent and warrant a sophisticated understanding of smart contracts and acknowledge the significant risks, including the possibility of total loss of assets engaged in the Program due to vulnerabilities, malfunctions, or other unexpected failures of the technology.

You accept and acknowledge the following risks associated with the use of the Service and $WAP Tokens:

  • Market Adoption: The lack of use or public interest in the development of distributed ecosystems could negatively affect the development of these ecosystems and applications, thereby impacting the potential utility of the Service and $WAP Tokens.

  • Regulatory Uncertainty: The regulatory environment for blockchain technologies, cryptocurrencies, and related assets is evolving. New regulations or policies may materially affect the development of the Service and the utility of $WAP Tokens.

  • Blockchain Interactions: We do not control the public blockchains you interact with. Transactions on these blockchains are irreversible, and we have no ability to reverse any transactions, including the inability to refund any fees paid.

  • Operational Role: We are not a wallet provider, exchange, broker, financial institution, or creditor, and thus, will not be responsible for any losses or failures related to these services.

  • Technical and Operational Risks: The Service relies on blockchain and distributed ledger technology, which are beyond our control. We disclaim all liability for any malfunctions, disruptions, or failures in these technologies.

  • Third-party Dependencies: Our Service depends on third-party platforms and vendors. Changes in relationships, terms, pricing, or the availability of these third parties could adversely affect the Service.

  • Security Risks: Vulnerabilities in software could allow unauthorized access to your account information, including addresses, private keys, or seed phrases. We make no representation that these faults or vulnerabilities will be addressed.

  • Regulatory Actions: The Service could be affected by regulatory inquiries or actions, which could limit your ability to access or use the Service.

  • Security of Digital Assets: You are responsible for safeguarding your private keys or seed phrases. Loss or theft of these could result in inaccessible or stolen digital assets.

  • Data Security: You are solely responsible for safeguarding the data and information stored on your devices. We will not be liable for losses due to lost or compromised data.

11. Limited liability and warranty

Please read this section carefully since it limits the liability of Zorg Media LLC and its parents, subsidiaries, affiliates, related companies, officers, directors, employees, agents, representatives, partners, and licensors (collectively, the “Entities of Zorg Media LLC”). Each of the subsections below only applies up to the maximum extent permitted under applicable law. Some jurisdictions do not allow the disclaimer of implied warranties or the limitation of liability in contracts, and as a result the contents of this section may not apply to you. Nothing in this section is intended to limit any rights you may have which may not be lawfully limited. All Information is for your general reference only. We do not accept any responsibility whatsoever in respect of such information.

YOUR ACCESS TO AND USE OF OUR SERVICES IS AT YOUR SOLE RISK AND IS PROVIDED “AS IS,” “AS AVAILABLE.” THE SERVICES ARE FOR YOUR PERSONAL USE ONLY AND THE ENTITIES OF ZORG MEDIA LLC MAKE NO REPRESENTATION OR WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES ON MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE OR NON-INFRINGEMENT.

THE ENTIRE LIABILITY OF THE ENTITIES OF ZORG MEDIA LLC AND YOUR EXCLUSIVE REMEDY WITH RESPECT TO THE SERVICES OR OTHERWISE, IS RE-PERFORMANCE OF DEFECTIVE SERVICES. IN JURISDICTIONS WHICH DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN TYPES OF LIABILITY, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DO NOT ENDORSE, WARRANT OR GUARANTEE ANY MATERIAL, PRODUCT OR SERVICE OFFERED THROUGH US OR OUR SERVICES. WE ARE NOT AND WILL NOT BE A PARTY TO ANY TRANSACTION BETWEEN YOU AND ANY THIRD PARTY.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE ENTITIES OF ZORG MEDIA LLC EXCEED ONE HUNDRED USA DOLLARS.

The Entities of Zorg Media LLC shall not guarantee or assume any responsibility that:

the information presented in our Services is accurate, adequate, current or reliable, or may be used for any purpose other than for general reference;

the information presented in our Services is free of defect, error, omission, virus or anything which may change, erase, add to or damage your software, data or equipment;

messages sent through the internet including in connection with the services will be free from interception, corruption, error, delay or loss;

access to the Services will be available or be uninterrupted;

use of the Services will achieve any particular result; or

defects in the Services will be corrected.

Without limiting the generality of the foregoing, in no event will the Entities of Zorg Media LLC be liable to you or any other person for any direct, indirect, incidental, special, punitive or consequential loss or damages, including any loss of business or profit, arising out of any use, or inability to use, the information or the services, even if any of the Entities of Zorg Media LLC has been advised of the possibility of such loss or damages.

You will exercise and rely solely on your own skill and judgment in your use and interpretation of the information and use of the Services. You are responsible to ensure that your use of the information and the Services complies with all applicable legal requirements.

Without prejudice to the foregoing, if your use of the Services does not proceed satisfactorily and/or where applicable you do not receive appropriate responses to such use from us, as set out in these Terms of Service or otherwise, you are advised to contact us at [email protected]. No such lack of response shall be deemed to constitute any acquiescence or waiver.

The limitation of liability contained in these Terms of Service will apply to the fullest extent permitted by applicable laws.

12. Content on the Services

All Content, whether publicly posted or privately transmitted, is the sole responsibility of the person who originated such Content.

You warrant that any such contribution does comply with those standards, and you will be liable to us and indemnify us for any breach of that warranty and you will be responsible for any loss or damage we suffer as a result of your breach of warranty.

We will not be responsible, or liable to any third party, for the content or accuracy of any content posted by you or any other user of our site. All content posted to public profiles are monitored for offensive content and will be removed if they breach this agreement.

The views expressed by other users on our site do not represent our views or values. We also reserve the right to access, read, preserve, and disclose any information as we reasonably believe is necessary to (i) satisfy any applicable law, regulation, legal process or governmental request, (ii) enforce the Terms of Service, including investigation of potential violations hereof, (iii) detect, prevent, or otherwise address fraud, security or technical issues, (iv) respond to user support requests, or (v) protect the rights, property or safety of Zorg Media LLC its users and the public.

We do not guarantee that our Services will be secure or free from bugs or viruses. You are responsible for configuring your information technology, computer programmes and platform in order to access our site. You should use your own virus protection software.

You may not:

  • Access, tamper with, or use non-public areas of the Services or Zorg Media LLC’s technical systems, or those of its providers.

  • Probe, scan, or test the vulnerability of any system or network, or breach or circumvent security or authentication measures.

  • Access or search the Services by any means other than through our provided, published interfaces, under agreed terms and conditions. Unauthorized scraping is prohibited.

18. Several users

If there are two or more persons adhering to these Terms of Service as user, their liability under the Terms of Service is joint and several, and their rights are joint.

No failure or delay by a party to exercise any right or remedy provided under this agreement or by law shall constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict the further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy shall prevent or restrict the further exercise of that or any other right or remedy.

20. Termination

The Terms of Service will continue to apply until terminated by either you or us as follows.

You may end your agreement with us at any time for any reason by deactivating your accounts and discontinuing your use of the Services. You do not need to specifically inform us when you stop using the Services

We may suspend or terminate your accounts or cease providing you with all or part of the Services at any time for any reason, including, but not limited to, if we reasonably believe: (i) you have violated these Terms of Service or (ii) you create risk or possible legal exposure for us; or (iii) our provision of the Services to you is no longer commercially viable or (iiii) you use our platform to promote competing apps. We will make reasonable efforts to notify you by the email address associated with your account or the next time you attempt to access your account.

In all such cases, any provision of these Terms of Service that expressly or by implication is intended to come into or continue in force on or after termination of this agreement shall remain in full force and effect.

Nothing in this section shall affect our rights to change, limit or stop the provision of the Services without prior notice, as provided above in Clause 3 Changes to Our Services.

These Terms of Service shall be governed by the laws of the US. You agree to submit to the exclusive jurisdiction of the US courts.

The Services are under development and are constantly updated, and accordingly, if and when the Services are completed, they may differ significantly from the Services set out in these Terms. No representation or warranty is given as to the achievement or reasonableness of any plans, future projections, or prospects and nothing in the Terms is or should be relied upon as a promise or representation as to the future.

Annex A Content Creator Policy

By creating and uploading the Content to Zorg Media LLC's platforms, creators agree to adhere to this Content Creator Policy, the Terms of Service, and all applicable laws and regulations.

“Content” includes the text, software, scripts, graphics, photos, sounds, music, videos, audiovisual combinations, interactive features, textual content, and other materials you may view, upload, publish, submit, make available, display, communicate or post on this website.

  • Age Restriction: Content creators must be 18 years of age or older. All content intended for adults must be marked appropriately and comply with applicable laws and regulations regarding age-restricted content.

  • Prohibited Content: Content creators shall not produce, upload, or distribute any content that is illegal, obscene, defamatory, threatening, infringing on intellectual property rights, promoting violence, or containing hate speech.

  • Compliance with Laws: Content creators are responsible for ensuring that their content complies with all applicable federal, state, and local laws, including but not limited to copyright and privacy laws.

  • Prohibited Depictions: Content creators must not post any content that depicts any person under 18 years of age (or older in any other location in which 18 is not the minimum age of majority), whether real or simulated.

  • Documentation of Age: Content creators must maintain written documentation sufficient to confirm that all subjects of their content are, in fact, over 18 years of age (or the age of majority in the jurisdiction where the content is created).

  • Prohibited Activities: Content must not depict underage sexual activity, non-consensual sexual activity, revenge porn, blackmail, intimidation, snuff, torture, death, violence, incest, racial slurs, or hate speech.

  • Truth and Accuracy: Content must not contain falsehoods or misrepresentations that could damage Zorg Media LLC or any third party.

  • Appropriateness: Content must not be obscene, illegal, unlawful, fraudulent, defamatory, libelous, harassing, hateful, racially or ethnically offensive, or encourage conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate.

  • Unauthorized Solicitation: Content must not contain unsolicited or unauthorized advertising, promotional materials, spam, junk mail, chain letters, pyramid schemes, or any other form of unauthorized solicitation.

  • Gambling and Lotteries: Content must not contain sweepstakes, contests, lotteries, or be related to gambling.

  • Copyright and Intellectual Property: Content must not contain copyrighted materials, or materials protected by other intellectual property laws, that the creator does not own or for which they have not obtained all necessary written permissions and releases.

  • Impersonation: Content must not impersonate another person or falsely state or otherwise misrepresent a creator’s affiliation with a person.

  • Privacy and Protection of Personal Information: Creators must respect the privacy of others and not disclose any personal information of individuals without their express consent.

  • AI-Generated Content Disclaimer: Content creators utilizing artificial intelligence (AI) to generate or assist in creating content must clearly disclose the use of AI in their content. Creators must ensure that AI-generated content complies with all the aforementioned policies and does not infringe upon intellectual property rights or promote misinformation. Creators are responsible for reviewing and verifying the accuracy and appropriateness of AI-generated content before publishing.

  • Enforcement: Zorg Media LLC reserves the right to remove any content that violates these policies or the Terms of Service, and to suspend or terminate the accounts of violators.

  • Liability: Creators are solely responsible for the content they produce and may be held legally liable for any damages or legal violations arising from their content.

  • Content Review and Monitoring: Zorg Media LLC may review and monitor content to ensure compliance with these policies but is not obligated to screen all content proactively.

  • Reporting: Users and creators should report any violations of this policy to Zorg Media LLC immediately for review and potential action.

  • Amendments: Zorg Media LLC may amend this Content Creator Policy at any time without notice. It is the responsibility of the content creators to stay informed of any changes.

The Services are for adult-oriented Content. Other categories of Content may be rejected or deleted in our sole discretion.

Content creators hereby certify that:

  • With respect to the Content, you, or the producer of the Content, have collected and maintained the records required under 18 U.S.C. § 2257 et. seq., as modified from time to time in compliance with the rules and regulations set forth in 28 C.F.R. § 75 et. seq., as modified from time to time, and any other applicable records keeping or age verification laws.

  • They are of sound mind and body, acting of their own free will, fully understand the terms of this policy, and are legally able to consent.

  • All performers participating in the Сontent have agreed to be photographed, recorded, or videotaped in connection with their participation in the content, done so voluntarily, without coercion or duress. They fully understand the explicit sexual nature of the content and consent to appear (fully or partially nude, or non-nude, actively participating or not) in the Сontent. A valid government-issued identification was examined, confirming they are at least eighteen (18) years old (or over the age of majority and legal consent in the jurisdiction in which they live) on the date of content creation. They agree to the Terms of Service, including this policy. No individual appearing in the Content has been convicted of crimes relating to sexual assault, sexual exploitation of a minor, trafficking, and other related criminal offences.

  • The government identification is valid, unexpired, and unaltered, and a photo of them holding this identification.

  • They grant permission to use, reproduce, sell, license, or otherwise distribute and publish the content.

  • They authorize the upload and publication of the content online, which may be displayed, sold, marketed, or made available on associated websites or through partnered entities.

  • They understand that the Content may be searchable by users and through publicly available search engines.

  • They grant permission to provide a copy of their government identification to the site’s operators or agents for compliance purposes, and they release, discharge, indemnify, and hold harmless the site from any claims related to their participation in the content.

  • They acknowledge sole responsibility for the nature of the content they participate in and bear all risks associated with their participation.

  • The Content is not a duplicate of another piece of Content uploaded by you or anyone else.
